These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Nexa Funnels, a sole proprietorship owned and operated by Divyansh Sengar with its principal place of business at Near JNV Road, Sainik Colony, Fatehgarh, Farrukhabad, Uttar Pradesh 209601, India ("Nexa Funnels", "we", "us").
By signing up for a free trial, subscribing to a paid plan, or otherwise using the Nexa Funnels service (the "Service"), you agree to be bound by these Terms.
1. The Service
Nexa Funnels is an all-in-one software platform that helps coaches and business owners set up online education businesses and sell digital products. The Service is delivered as a hosted, cloud-based application. Specific features are described on our website and may evolve over time.
2. Accounts and eligibility
- You must be at least 18 years old and capable of forming a binding contract.
- You are responsible for keeping your login credentials confidential.
- You are responsible for all activity that occurs under your account, including activity by users you invite.
3. Free trial
New customers may receive a 7-day free trial. A valid payment method is required at sign-up to authorise the subscription mandate. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the price displayed at checkout.
4. Fees and billing
- Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you choose at checkout.
- Payments are processed in Indian Rupees (INR) via Razorpay. Applicable taxes (including GST) will be added where required.
- Subscriptions renew automatically at the end of each billing cycle until cancelled by you.
- Failed payments may result in suspension or termination of access until the balance is cleared.
5. Cancellation
You may cancel your subscription at any time from your account or by emailing connect@nexafunnels.com. Cancellation prevents future renewals; it does not entitle you to a refund of fees already paid. Please see our Refund Policy for details.
6. Acceptable use
You agree not to use the Service to:
- Send spam or violate anti-spam laws.
- Distribute malware, phishing pages, or fraudulent content.
- Promote illegal goods or services, hate speech, or sexually explicit material involving minors.
- Infringe on intellectual property, privacy, or publicity rights of others.
- Interfere with the operation or security of the Service.
We may suspend or terminate accounts that violate this section, with or without notice.
7. Customer data and ownership
You retain all rights to the content, contacts, and data you upload to the Service ("Customer Data"). You grant us a limited licence to host, store, process, and transmit Customer Data solely as needed to provide the Service. We do not claim ownership of your business or content.
8. Intellectual property
The Service, including all software, designs, trademarks, and documentation, is the property of Nexa Funnels or its licensors and is protected by Indian and international intellectual-property laws. You receive a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription.
9. Third-party services
The Service relies on third-party providers including Razorpay (payments) and HighLevel/LeadConnector (underlying platform). Your use of those services is also governed by their respective terms.
10. Disclaimer
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or meet any specific revenue or business outcome.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the fees paid by you to Nexa Funnels in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data.
12. Indemnity
You agree to indemnify and hold harmless Nexa Funnels from any third-party claim arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.
13. Termination
Either party may terminate the agreement at any time by giving notice through the in-product cancellation flow or email. Upon termination, your access to the Service will cease and Customer Data may be deleted after 30 days unless required to be retained by law.
14. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to the dispute-resolution process below, the courts at Farrukhabad, Uttar Pradesh shall have exclusive jurisdiction over any dispute.
15. Changes to these Terms
We may modify these Terms from time to time. Material changes will be notified to you via email or in-product notice at least 7 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
